Terms of Service

The agreement for using Narada. Plain-language summaries head each section; the text below them governs.
1. Agreement
These Terms govern your use of Narada’s websites and application (the “Service”), currently operated by its founding team. Narada is not yet incorporated; once a formal operating entity is established it will be named here and will be the contracting party. By creating an account or using the Service, you agree to them on behalf of your organisation (“you”, “Customer”).
2. The Service
Narada is an AI operations-analytics layer that reads your operational data (via file upload, email, or a read-only ERP connection), runs diagnostics, and surfaces findings, briefings, and recommended actions. Narada is read-only and is not a system of record; it does not replace your ERP and never writes to it. Recommendations and drafts (e.g. purchase orders, emails) are proposals — you review and approve before anything is acted on or sent.
3. Plans, billing & the founding-member program
- Plans are Analyst ($1,500/mo) and Planner ($2,500/mo), priced in USD and billed monthly; Autopilot is offered later. Prices and inclusions are as described at naradaos.com/#pricing.
- Subscriptions renew monthly until cancelled. You can cancel anytime, effective at the end of the current billing period; fees already paid are non-refundable except under the 10× guarantee below.
- Payments are processed by our merchant of record, Dodo Payments, which is PCI DSS Level 1 compliant — Narada never sees or stores your full card details. Listed prices are in US dollars and exclusive of tax: Dodo Payments, as merchant of record, calculates, collects and remits any VAT, GST or local sales tax for your country, and that tax is added at checkout. Dodo Payments may present and charge your subscription in your local currency at its own conversion rate, so the amount charged can differ slightly from the US-dollar price shown here. Business buyers can enter a business name and tax ID at checkout to receive a B2B invoice; whether that tax is recoverable depends on your own registration and local rules.
- Founding members — the first five companies — receive the full Planner plan at 40% off the prevailing Planner list price, for the lifetime of their subscription while it remains active (today that is $1,500/mo instead of $2,500/mo; because the promise is a percentage, it survives list-price changes). If unforeseen circumstances ever force the founding-member program to change, founding members will always retain a preferential discount relative to the list price. In return, founding members agree to ongoing product feedback, a testimonial Narada may publish, and one honest review on a third-party software directory such as Capterra — honest meaning exactly that: we ask for your real experience, never for a favourable rating. Founding members may request roadmap improvements (“improvements on demand”), subject to feasibility and scope.
4. The 10× guarantee — or that month is free
Summary: a one-time, first-month risk reversal. If, within your first 30 days, Narada does not uncover at least 10× your monthly fee in recoverable value — $15,000 on Analyst, $25,000 on Planner — that month is free. The remedy is that month’s subscription fee back; it is not a payout of the uncovered amount. Full plain-language version: naradaos.com/guarantee.
- How you get that month back — your choice. Either an account credit for the full month’s fee, with nothing withheld, applied to your next invoice; or a cash refund of that month’s fee less the payment processor’s non-refundable fee (about 5%) — the portion Dodo Payments keeps when a payment is reversed and never returns to us. We state this before you pay, not at claim time. The credit option returns 100%.
- Eligibility. The guarantee attaches when, within 14 days of signup, you connect the standard data set — at least 12 months of sales history, a current inventory snapshot, and your product master — and the inventory value Narada computes from your own data is at least $500,000. There is no condition on SKU count. Below the floor you may still subscribe; the guarantee simply does not attach, and we say so before you buy.
- The clock. The 30 days are your first billing month — the dates already on your invoice. One clock, which you can check yourself without asking us. Connecting your data costs minutes of your time and we aim to have you live inside two business days; that time sits inside the month rather than being added to it. The week-1 check below is what protects you if it does not go smoothly.
- “Uncovered” means the Cash at risk total on your board — one figure, shown every day, deduplicated so the same stock is never counted twice, each number behind it traceable to a stated formula and checkable in your own ERP. It is built from dead, aged, overstocked and slow-moving stock at cost; margin, returns and cash-cycle leaks that repeat — including revenue quietly walking out, like a customer whose orders have been shrinking; and preventable stockout risk — the margin you lose by being out. It is value identified, not value you have already banked (surfaced and evidenced on the Impact Ledger). That total is the only figure the bar is measured against: upside we spot for you (stock transfers, MOQ or payment-term renegotiation) and losses already taken are shown to you but do not count toward it.
- The week-1 check. Within 7 days of connecting your data we tell you where you stand. If your data cannot support the analysis, we say so and refund you straight away — we will not run out your 30 days on data that cannot work. If your inventory is below the $500,000 floor, we say so and you choose: exit with a refund, or continue knowing the guarantee does not apply. Either refund is on the credit-or-cash terms above. Nobody discovers at day 30 that they were never covered.
- Claiming. Email support@naradaos.com at day 30; we review and pay within 7 days. This refund is the sole and exclusive remedy under the guarantee, limited to one claim per workspace on the first subscription term.
- Exclusions — the only ones. Data never connected (or connected after day 14); subscription paused or cancelled by you during the first 30 days; data materially falsified. Declining renewal at the end of the term does not affect a claim — you can end the subscription and still claim, and you should not have to keep paying us to be owed a refund.
5. Your responsibilities
- Provide accurate data and only connect data you’re authorised to share.
- Keep credentials secure and ensure your users comply with these Terms.
- Review Narada’s drafts and recommendations before acting; you are responsible for decisions you take.
6. Acceptable use
You agree not to misuse the Service — including no reverse-engineering, no reselling without authorisation, no attempts to breach security or access other tenants’ data, and no unlawful use.
7. Intellectual property
We own the Service, software and models. You own your data and your outputs derived from it. You grant us the limited rights needed to operate the Service for you, as described in the Privacy Policy and Security & Data Processing page.
8. Disclaimers & limitation of liability
Narada provides analysis and recommendations to support your decisions; it does not guarantee specific financial outcomes beyond the first-month guarantee in §4. The Service is provided “as is” to the extent permitted by law. To the maximum extent permitted, our aggregate liability is limited to the fees you paid in the 12 months before the claim.
9. Termination
Either party may terminate per the cancellation terms in §3, or for material breach not cured within 30 days. On termination we stop processing and delete or return your data per the Privacy Policy.
10. Confidentiality
Each party may receive the other’s confidential information (including your Client Data and our non-public product and pricing details). Each party will use the other’s confidential information only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and sub-processors who need it and are bound by equivalent confidentiality obligations. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law. 11. Indemnification
You agree to indemnify and hold Narada harmless from third-party claims, losses and reasonable costs arising from your misuse of the Service, your breach of these Terms, or your connecting or sharing data you were not authorised to share. We will indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual-property rights. The party seeking indemnity must give prompt notice and reasonable cooperation. These obligations are subject to the liability cap in §8.
12. General
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (e.g. outages of upstream infrastructure, network or utility failures, acts of government, or natural events).
- Assignment. You may not assign these Terms without our consent, except to a successor of your business; we may assign them to the operating entity once Narada is incorporated, or to a successor by merger or acquisition.
- Severability. If any provision is held unenforceable, the rest remain in effect and the provision is applied to the maximum extent permitted.
- Entire agreement. These Terms, with the Privacy Policy and Security & Data Processing page, are the entire agreement between us and supersede prior discussions on their subject matter.
- Waiver. A failure to enforce a provision is not a waiver of it.
13. Changes & governing law
We may update these Terms; material changes will be notified to account administrators. Until Narada is incorporated, these Terms are governed by the laws of India, where Narada’s operator is currently based, and disputes are subject to the competent courts there; a specific governing-law jurisdiction will be confirmed on incorporation.
